Billing & Subscription Policy
Billing, payment, renewal, usage, tax, refund, credit, dispute, and chargeback rules for covered Aeltrix Technologies LLC Services.
1. Scope
This Billing & Subscription Policy supplements the Terms of Service for paid Services provided by Aeltrix Technologies LLC. Pricing, commitment periods, credits, deposits, minimums, and commercial terms stated in an executed order form, statement of work, quote, or checkout flow control over this Policy if they conflict.
2. Fees
Customer must pay all fees shown in the applicable order, plan, quote, usage schedule, or checkout interface. Fees may include recurring subscription charges, one-time implementation fees, professional-services fees, usage-based charges, overages, pass-through third-party costs, premium support, taxes, and other charges expressly disclosed before purchase or incurred under an authorized usage model.
3. Usage Metering
Where billing depends on usage, Aeltrix's production metering records are the authoritative source unless Customer demonstrates a material measurement error. Usage may include API calls, messages, storage, compute, bandwidth, seats, documents, workflow executions, model tokens, third-party pass-through usage, or other units stated in the applicable plan.
4. Billing Cycles
Recurring subscriptions are billed in advance or arrears as stated in the order. Usage charges may be billed in arrears. Annual or multi-year commitments may be invoiced annually, quarterly, monthly, or according to the agreed schedule without changing the underlying commitment term.
5. Payment Methods
Customer authorizes Aeltrix and its payment processor to charge the payment method supplied for amounts due under an authorized recurring or usage-based arrangement. Customer must maintain a valid payment method where automatic billing is required. Bank-transfer customers must include invoice references and bear bank charges unless otherwise agreed.
6. Auto-Renewal
If a subscription is identified as automatically renewing, it renews for the period disclosed at purchase unless either party provides timely non-renewal notice under the applicable order or checkout terms. Aeltrix will provide renewal disclosures and reminders where required by applicable law. Enterprise negotiated orders control their own renewal mechanics.
7. Taxes
Fees are exclusive of applicable taxes unless expressly stated otherwise. Customer is responsible for sales, use, VAT, GST, digital-service, communications, withholding, or similar transaction taxes attributable to Customer's purchase, excluding taxes based on Aeltrix's net income. If Customer claims an exemption, Customer must provide valid documentation before invoicing where practicable.
8. Withholding
If law requires Customer to withhold tax from a payment, Customer must provide official evidence of the withholding and, unless prohibited by law or the applicable order, gross up the payment so Aeltrix receives the amount it would have received absent the withholding.
9. Currency and Foreign Exchange
Charges are payable in the currency shown in the order. Customer bears exchange-rate costs, card issuer charges, intermediary bank fees, and foreign transaction fees imposed by third parties. Where Aeltrix displays estimated local-currency amounts, the payment processor's final conversion may differ.
10. Failed Payments and Late Amounts
Aeltrix may retry failed payment methods and may suspend paid Services for overdue undisputed amounts after reasonable notice where legally permitted. Late fees or interest apply only where stated in the applicable order or permitted by law. Customer remains responsible for accrued charges during a committed term unless termination rights apply.
11. Billing Disputes
Customer should notify billing@aeltrix.io of a good-faith billing dispute promptly and, where possible, within thirty days after the invoice or charge. The notice should identify the disputed amount, invoice or transaction, and basis. Customer must pay undisputed amounts when due.
12. Refunds
Except where required by law, stated in a specific offer, or provided in a signed order, fees are non-refundable once the applicable subscription period, implementation work, professional service, third-party purchase, or usage has begun. If Aeltrix terminates a prepaid Service for convenience without Customer breach, Aeltrix will refund prepaid unused fees for the terminated portion unless the order provides another remedy.
13. Credits
Promotional, service-level, goodwill, or account credits are not cash, are non-transferable unless expressly stated, and expire according to the terms under which they were issued. Service credits are Customer's exclusive remedy for SLA failures where the applicable SLA says so.
14. Chargebacks
Customer should use Aeltrix's billing-dispute process before initiating a chargeback. An unjustified chargeback does not cancel contractual payment obligations and may result in suspension while the dispute is investigated. Nothing in this clause limits mandatory cardholder rights or legal remedies.
15. Third-Party and Pass-Through Charges
Some Services may incur non-refundable third-party costs such as cloud resources, domain registrations, certificates, telecommunications, model usage, data services, or other provider charges. Where disclosed, those charges may be passed through to Customer and may remain payable even if the underlying Aeltrix Service is later cancelled.
16. Price Changes
Aeltrix may change public list prices prospectively. Price changes for an existing committed paid subscription ordinarily take effect at renewal unless the order permits earlier adjustment for pass-through third-party costs, usage changes, taxes, or other specified items.
17. Consumer Rights
If mandatory consumer law grants a cancellation, cooling-off, refund, or renewal right that cannot be waived, that right remains unaffected. Most Aeltrix Services are business-oriented, but legally mandatory protections apply where the customer relationship falls within them.
